The conference is aimed at civil law judges working for general departments and chambers as well as those concerned with legal complaint appeals (as concerns the public registers and land registry), and at presiding judges of divisions for commercial matters.
On 1 January 2024, the Act to Modernize the Law on Commercial Partnerships (Gesetz zur Modernisierung des Personengesellschaftsrechts) will come into effect. Significant changes are being enacted to the Civil Code, the Commercial Code, the Partnership Companies Act, the Transformation Act, and resultant changes to the Code of Civil Procedure, the Act on Proceedings in Family Matters and the Land Register Code, and to a number of other statutes, which will re-shape the landscape in the law on civil-law corporations, open commercial companies and corporations. The most important issues discussed at the conference will be:
  • Key changes to material law: Legal capacity and liability of, and representation in official capacity by, appointment, and removal of, company directors.
  • The new company register and the new legal instrument allowing companies to change their legal status to a different company form.
  • The new law on deficiencies in resolution contained in the Commercial Code.
  • Civil law corporations in the land registry.
  • Civil law corporations as a party to proceedings and enforcement.
